Video License Agreement

The following is a legal agreement between CRYSTALIZED MEDIUM INC. (“OWNER” of the “VIDEO(s)”) downloaded from our Websites, and YOU.

Whereas CRYSTALIZED MEDIUM INC is the sole owner of the clips provided.

By downloading a VIDEO, YOU agree to be bound by the terms of this Agreement automatically, without any other conditions or declarations. If YOU do not agree with all of these terms, YOU are not allowed to download the VIDEO(s).

All VIDEOS on the Website(s) are copyright protected and the VIDEOS are the sole property of CRYSTALIZED MEDIUM INC. All rights are reserved unless otherwise granted to YOU in writing, by the current President of CRYSTALIZED MEDIUM INC. Your rights to use the Video are subject to this agreement and the restrictions specified within this agreement.

We hereby grant to YOU a non-exclusive, non-transferable license, to use the Video within the terms and conditions outlined in this Agreement for the FEE set out on the VIDEOS advertising website (EBAY, PAYLOADZ or HD1080STOCKFOOTAGE.COM).  Only after successful completed payment, in full, to CRYSTALIZED MEDIUM INC., will you have any of these rights to download and/or use the video.

If YOU use the material in a public manner, YOU must give credit and protect the VIDEO(s) of CRYSTALIZED MEDIUM INC by affixing a copyright notice (COPYRIGHT OF CRYSTALIZED MEDIUM INC. – ALL RIGHTS RESERVED)

YOU may use the VIDEO:

§  To use in a personal or private corporate project

§  To enhance your home, your office or any public place.

YOU may use the VIDEO: if substantially added to, remixed or otherwise altered:

§  In digital format on websites, multimedia presentations, film and video.

§  In printed promotional materials, magazines, newspapers, books, brochures, flyers, CD/DVD covers, etc.

YOU may NOT use the VIDEO:

§  For pornographic, unlawful or other immoral purposes, for spreading hate or discrimination, or to defame or victimize other people, cultures, societies.

§  To endorse products and services if it depicts a person.

§  In a way that can give a bad name to CRYSTALIZED MEDIUM INC

§  As part of a trademark, service mark or logo or in a manner that infringes on any other entities trademarked or copyrighted works.

§  SELLING AND/OR REDISTRIBUTION OF THE VIDEO (INDIVIDUALLY OR ALONG WITH OTHER VIDEO(S)) IS STRICTLY FORBIDDEN. DO NOT SHARE THE VIDEO WITH OTHERS.

§ As a simple video clip, or in any format as part of video clip collection or library - such as a multi-scene relaxation dvd/blu-ray or as a video or video loop library.

Indemnity Clause

You agree to indemnify, defend, and hold harmless CRYSTALIZED MEDIUM INC and all of its officers, employees, shareholders, directors and suppliers against any and all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses, arising out of or related to a breach of this Agreement, the use of the sites and the use or the inability to use any Video, your failure to follow the agreement regarding the use of a VIDEO, or any claim by a third party related to the use of an Video.

Additional Information regarding your rights and obligations

YOU acknowledge that by your download the ownership of VIDEO does not get transferred to YOU and YOU must not claim that the video content is yours or that it is not copyright protected – ALL RIGHTS RESERVED property of CRYSTALIZED MEDIUM INC. Whenever and Where-ever possible you must state that the video used in your project is the copyright of Crystalized Medium Inc. – ALL RIGHTS RESERVED.  Your license is non-transferable, which means that YOU will not sell, rent, give, sublicense, or otherwise transfer the Video or the right to use the Video to anyone else. The work YOU create with the VIDEO must be used by yourself. You warrant that YOU will do your best to prevent third parties from duplicating or transferring (uploading or downloading) the VIDEO.

Proof of purchase

You must submit to us, your proof of purchase, within 30 days of our written request - so that we are able to verify that you are indeed a license holder. Failure to do so will result in immediate suspension of all rights.

Warranty and Liability

CRYSTALIZED MEDIUM INC. shall not be liable to you or to any other person or entity for any general, punitive, special, indirect, consequential or incidental damages, or lost profits or any other damages, costs or losses arising out of your use of the VIDEO(s).

The Website and the VIDEO(s) are provided “AS IS”.  No Warranty is provided, explicit or implied, regarding any of the VIDEO(s), the accuracy of any of the information provided, or any rights or Licenses under this agreement. INCLUDING, without limitation, any implied warranties of merchantability or fitness for any particular use.

Please contact Crystalized Medium Inc. if you have any questions or need further clarification of your rights or if you wish to request an addendum to your rights.  Such requests may or may not be granted and an additional fee may or may not be required for the writing and granting of specific addendums to this contract.
